Dear MCA Member:

On behalf of the MCA Board of Directors, I want to express our hope that you will be able to attend the MCA annual membership meeting on Thursday, May 25, 2023. This is an important meeting to elect next year’s slate of directors and officers, hear about pressing issues affecting the McLean Area, and learn how MCA has been working to improve the quality of life for local residents on issues like transportation, education, the Fairfax County budget and development projects.

We will hold our annual meeting hybrid, in-person in the McLean Community Center and via Zoom video conference. The meeting will take place on Wednesday, May 25, at 7:30 p.m. and a Zoom meeting invitation will be sent out to all MCA members closer to the meeting date. The meeting will feature remarks by Dranesville Supervisor John Foust and the MCA President and a report from the President of the McLean Community Foundation (MCF), MCA's philanthropic arm, about MCF’s activities and the contributions it made to the McLean area this past year. A motion will be presented to our membership to consider changes to the MCF Articles of Incorporation. The proposed changes were unfavorably reviewed by the MCA Board of Directors and the MCA Executive Committee, who urge you to vote "NO" to the proposed changes to the MCF Articles of Incorporation. Additionally, we will elect MCA officers and board directors and MCF trustees for 2023-2024. The meeting will also feature brief presentations by the Chairs of the MCA Committees who will discuss critical issues for our community.

Please Note: ***Vote on Proposed Changes to the MCF's Articles of Incorporation***
This year, MCA Members will also be asked to consider certain changes to the MCF's Articles of Incorporation that have recently been proposed by the MCF Board of Trustees. The proposed changes were reviewed by the MCA Board of Directors and the MCA Executive Committee.

What Are the Proposed Changes?
Attached please find links to the existing version of MCF's Articles of Incorporation and the revised version of the MCF Articles of Incorporation proposed by the MCF.

MCA Board Recommended You Vote "NO" on the Proposed Changes to the MCF Articles.
At its April meeting, the MCA Board of Directors voted 26-1 against the proposed changes. The Board delegated to the MCA Executive Committee the opportunity for additional consideration and recommendation to the MCA membership at this upcoming Annual Members meeting.  

Subsequent to the MCA Board of Directors' resolution described above, the MCF Board of Trustees voted to propose certain changes to the proposed MCF Articles that the MCA Board of Directors had considered. Consistent with the MCA Board of Directors resolution, the proposed changes were then presented to the MCA Executive Committee for its consideration.

MCA Executive Committee Recommends You Vote "NO" on the Proposed Changes to the MCF Articles
The MCA Executive Committee voted 5-1 against the proposed changes. The Executive Committee's view is that MCF's proposed changes would remove or reduce substantive rights (e.g. the right to fill MCF Trustee vacancies) as well as procedural rights of MCA members, such as the MCF's proposed reduction of the current requirement for a supermajority vote (i.e. 2/3rds) to change the MCF Bylaws.  The MCA Resolution recommending a "NO" vote is attached.

In summary, the MCA Board of Directors and MCA Executive Committee urge you to vote "NO" to the proposed changes to the MCF Articles of Incorporation.
